CO-INVESTOR RIGHTS

  • GP may syndicate up to 30% of gross value of any particular transaction without approval of majority of LPs
  • Remains at GP´s discretion which deals, if any, to syndicate and what percentage will be available for co-investment (up to 30% of gross transaction value)
  • GP may invite external third-parties to co-invest in any deal provided LPs are also offered co-investment opportunity on same terms for up to 50% of total co-investment allocation
  • LP co-investment allocations will be limited to each LP´s pro rata ownership of fund
  • Management may charge up to 2% fee on all syndication to external co-investors and up to 1% fee on all syndication to LP co-investors
